March 05, 2024

Dechert has advised PingSafe, a cloud-native application protection platform (CNAPP), on its acquisition by SentinelOne, an Artificial Intelligence-powered security company listed on the New York Stock Exchange. SentinelOne will acquire PingSafe for a combination of cash and stock.

Founded in 2021 by CEO Anand Prakash and CTO Nishant Mittal, PingSafe is the only CNAPP platform powered by attacker’s intelligence. Its offensive security engine helps businesses address critical and exploitable vulnerabilities at speed and scale. The acquisition of PingSafe is expected to allow SentinelOne to grow the value and security it brings to customers by providing a fully integrated platform that drives better coverage, hygiene and automation across their entire cloud footprint.

Commenting on the acquisition, Timothy Goh, Partner, Singapore at Dechert LLP, said, “We are pleased to advise PingSafe on this milestone acquisition by SentinelOne, which has been termed as ‘one of the fastest ‘seed to significant exits’ in the region.’ Our team's deep understanding of the technology sector as well as the complex legal and regulatory landscapes in India, Singapore and the United States enabled us to provide our clients with innovative, practical solutions that align with their business objectives. This transaction showcased our exceptional technology practice and allowed us to leverage Dechert’s seamless cross-practice collaboration across multiple jurisdictions to execute the deal effectively and efficiently.”

Siew Kam Boon, Partner, Singapore and co-head of Dechert’s private equity group, said, “We are seeing greater interest in investments into Asia, supported by the region's strong economic growth. In particular, these technology companies present compelling investment opportunities, with both regional and international investors eyeing a slice of the pie, owing to their innovative technologies and sound business models. Backed by structural enablers such as demand for technological advancements and better digital infrastructure, we expect to see more of such transactions and we look forward to tapping our extensive expertise in the technology sector across various jurisdictions to help investors better navigate these opportunities.”

The Dechert team was led by Singapore-based partners Timothy Goh and Siew Kam Boon, supported by partners Joshua Rawson, Kevin Kay, Kevin Zaragoza and Anna Tomczyk in New York, as well as associates Nicholas Wee, Andrew Singer, Therese Ang in Singapore, Frank Hwang and Abigail Hopper in New York, Hilary Bonaccorsi in Charlotte and Dylan Balbirnie in London.
