Gregory A. Schernecke focuses his practice on mergers and acquisitions, with a particular emphasis on private equity and corporate finance.
Mr. Schernecke represents private equity sponsors, alternative asset managers and operating companies in complex merger and acquisition transactions across a wide range of industry sectors, including life sciences, healthcare, travel and hospitality, technology, consumer products, financial services and asset management. He also represents companies and investment banks in cross border public and private financing transactions and securities offerings of equity and debt.
Mr. Schernecke was part of the Dechert team that received “Standout” recognition in the Financial Times’ North America Innovative Lawyers awards for its representation of the Certares- led investor group in connection with its joint venture with American Express Company for its Global Business Travel division. Additionally, Mr. Schernecke was part of the Dechert team that received “Commended” status from the FT for its representation of Barings in its novel tri-party transaction with Triangle Capital Corporation and Benefit Street Partners. Again in 2022, he was a member of the team commended by the FT for “overcoming barriers to investment and finance” for representing Tiziana Life Sciences in its cross-border jurisdictional migration from listing on the London Stock Exchange to NASDAQ.

- Court Square Capital Partners in the private equity firm’s strategic capital investment into Five Star Parks & Attractions, a platform that partners with and invests in leading family entertainment centers and Five Star on its subsequent acquisition of Scene75 Entertainment, an international award-winning brand of entertainment centers located across Ohio and Illinois.
- The Certares-formed investor group in connection with its joint venture agreement with American Express Company for its Global Business Travel division and related US$900 million investment and in connection with the US$5.3 billion business combination with special purpose acquisition company Apollo Strategic Growth Capital (APSG) and listing on the New York Stock Exchange under the new ticker symbol “GBTG”.
