Thomas J. Cheeseman

Thomas J. Cheeseman focuses his practice on corporate and securities matters, advising clients on the formation and structuring of investment advisers and private funds, private equity and strategic buyers and sellers in corporate transactions. In addition to advising clients across a full range of general corporate matters, Mr. Cheeseman represents issuers and investment banks in public and private securities transactions, corporate governance and securities law compliance matters, SEC disclosure filings and the preparation of annual and quarterly reports and proxy statements.

Prior to joining Dechert, Mr. Cheeseman was an associate in the corporate and securities practice of a regional law firm. 

  • HPS, a leading global investment firm, on its US$400 million private placement of notes by HPS Corporate Lending Fund, a BDC.
  • AGL Credit Management LLC, a premier investment manager specializing in corporate credit strategies, in connection with an exclusive cooperation agreement with Barclays Plc, a global investment bank, and the launch of a new private credit investment platform, AGL Private Credit.
  • Horizon Technology Finance Corporation (NASDAQ: HRZN), a BDC advised by Horizon Technology Finance Management LLC  (“HTFM”), in connection with multiple debt and equity offerings as well as the acquisition of HTFM by Monroe Capital LLC.
  • Oppenheimer & Co. Inc., a global full-service brokerage and investment bank, in connection with multiple debt and equity offerings.
  • Raymond James & Associates, Inc., which acted as the lead underwriter, in connection with the underwritten public offering by Capital Southwest Corporation of US$46.0 million of shares of its common stock.
  • Portman Ridge Finance Corporation, a BDC, in connection with the issuance of US$80 million of unsecured notes in a Rule 144A offering.
  • Keefe, Bruyette & Woods, Inc. in connection with the initial public offering of Trinity Capital, Inc., a BDC.
